If your organization has signed a separate master services or subscription agreement with Intercept, that agreement governs your use of the Services and prevails over these Terms to the extent of any conflict.
Agreement
These Terms of Service ("Terms") are a binding agreement between you and Intercept, Inc. ("Intercept," "we," "us") governing your access to and use of intercept.com.sa (the "Site") and our platform and related services (together, the "Services"). By accessing the Site or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for keeping account credentials confidential and for all activity under your account, and you agree to notify us promptly of any unauthorized use.
Acceptable use
You agree not to: use the Services in violation of any law or third-party right; attempt to gain unauthorized access to the Services or related systems; interfere with or disrupt the integrity or performance of the Services; reverse engineer or copy the Services except as permitted by law; or use the Services to build a competing product. Security testing of the Services is permitted only through our Responsible Disclosure program.
Customer data & confidentiality
As between the parties, you retain all rights to the data you submit to the Services ("Customer Data"). You grant us the limited right to process Customer Data solely to provide and secure the Services. We handle personal data within Customer Data as described in our Privacy Notice and any Data Processing Agreement. Each party will protect the other's confidential information with reasonable care and use it only as needed under these Terms.
Intellectual property
The Services, including all software, content, and trademarks, are owned by Intercept or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription, subject to these Terms. No rights are granted except as expressly stated.
Third-party services
The Services may interoperate with third-party products, links, or content that we do not control. We are not responsible for third-party services, and your use of them is governed by their own terms.
Disclaimers
To the fullest extent permitted by law, the Site and any freely available features are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Warranties for paid Services, if any, are stated in your subscription agreement. No security control eliminates all risk, and we do not warrant that the Services will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to these Terms. Except for a party's liability that cannot be limited by law, each party's total liability arising out of these Terms will not exceed the amounts you paid to Intercept for the Services in the twelve months before the event giving rise to the claim. Where the Site or a feature is used without charge, no such amounts will have been paid, and any cap on liability is the one set by your subscription agreement or by applicable law.
Indemnification
You agree to indemnify and hold Intercept harmless from claims, damages, and expenses arising out of your misuse of the Services or your breach of these Terms, except to the extent caused by Intercept.
Term & termination
These Terms apply while you use the Services. We may suspend or terminate access if you breach these Terms or if required to protect the Services or comply with law. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law — will survive.
Governing law
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-laws rules. The competent courts of Riyadh, Saudi Arabia will have exclusive jurisdiction over any dispute, unless your subscription agreement specifies an alternative forum or arbitration.
Changes
We may update these Terms from time to time. When we do, we will revise the "last updated" date above. For material changes we will provide reasonable notice. Your continued use of the Services after changes take effect constitutes acceptance.
